Clause / Term Overview

  • Services and Deliverables (clause 2(c))

    • Our services are provided during business hours. We may employ subcontractors to assist in delivering these services.

  • Materials (clause 2(e))

    • To effectively complete our tasks, we require detailed, timely, and constructive materials and information from you. Absence of such materials may impact our ability to deliver.

  • Administration Fee (clause 3(b))

    • An administration fee may be added to our quoted fees when working with specific suppliers you nominate.

  • Out of Scope Costs (clause 3(c))

    • Charges for out-of-scope work may be applied. We strive to notify and obtain approval for additional fees for work exceeding 5 hours.

  • Up Front Payment (clause 3(f))

    • Certain services may require an upfront payment, which is non-refundable unless otherwise agreed upon.

  • Retained Services (clause 4)

    • Fees for retained services are billed monthly in advance. A 30-day notice is required for cancellation. Unused funds may be allocated to other Hydra Digital services.

  • Intellectual Property (clause 5)

    • We retain ownership of all intellectual property in draft materials. Upon full payment, intellectual property ownership of final deliverables is transferred to you.

  • User Acceptance Testing (clause 7)

    • In certain cases, we conduct user acceptance testing. Rejections or concerns must be communicated within 5 business days post-testing.

  • Third Party Services and Accounts (clause 8)

    • We engage with third-party services and may create accounts on your behalf. Post-agreement, access to these accounts may not be guaranteed without additional fees.

  • SEO Services (clause 9)

    • The performance of SEO services is contingent upon external factors like search engine algorithms, over which we have no control.

  • Advertising and Suspension of Campaigns (clause 10)

    • While we strive to optimize advertising performance, there are no guarantees. Written notice is required to suspend campaigns, during which you may be responsible for fees from both Hydra Digital and third-party providers.
